These terms describe the commercial relationship for Vysible hosted white-label ecommerce analytics services.
Vysible provides hosted ecommerce analytics dashboards for Magento 2 merchants and agencies. The service may include demo dashboards, live source configuration, GA4 and Google Search Console integrations, Magento order reporting, AI executive briefs, AI Chat, priority review targets, and white-label presentation options.
Customers are responsible for providing accurate account information, maintaining access to connected systems, and ensuring they have the rights needed to connect Google, Magento, and related data sources to Vysible.
Customers are responsible for ensuring their use of Vysible complies with the terms of service of any connected platform including Google Analytics, Google Search Console, and Magento.
Vysible is offered as a monthly or annual service.
Your billing period starts when your dashboard goes live with connected sources, not when you sign the agreement.
You have 14 days from agreement to complete the setup handoff before the billing window opens regardless of live status.
Monthly plans renew each calendar month.
Annual plans are billed upfront at the rate shown at time of agreement.
Late or failed payment may result in suspension of dashboard access.
If you need net terms or a split payment arrangement, contact us before signing and we will work something out.
A one-time setup fee applies to all service tiers.
The setup fee is quoted at time of rollout based on deployment complexity and is due prior to go-live.
Setup fees are non-refundable once configuration work has begun.
Setup fees may be waived at Vysible's discretion, including for initial rollouts.
Customers may cancel according to the terms of their package or written agreement.
Unless otherwise stated, cancellation stops future billing but does not automatically refund prior service periods, implementation work, or completed configuration.
Multi-client deployments are billed based on the active client count agreed at time of contract.
Reductions in client count take effect at the next annual renewal unless otherwise agreed in writing.
Minimum commitment periods may apply to custom multi-client arrangements and will be specified in the written agreement.
In the event Vysible discontinues service, customers will be notified with reasonable advance notice and provided time to revoke source access.
Clients retain ownership of their analytics, Search Console, Magento, order, and configuration data.
Vysible uses client data only to provide the service, operate dashboards, generate briefs and review targets, provide support, and maintain the product.
Customers may not use Vysible to violate laws, access systems without authorization, interfere with service operations, submit malicious content, or misrepresent dashboard outputs as audited financial statements.
Customers agree to indemnify and hold Vysible harmless from any claims, damages, losses, or expenses arising from:
- Unauthorized access to or connection of data sources
- Violation of third-party platform terms
- End-client complaints arising from an agency customer's use of Vysible
- Misuse of AI-generated output
- Any breach of these terms by the customer or their end clients
Customers who use Vysible to deliver analytics services to their own clients do so as independent resellers.
Vysible provides the dashboard and underlying service only.
The agency customer is responsible for their own client relationships, data agreements, billing arrangements, and any representations made to end clients about the service.
End clients of agency customers have no direct relationship with Vysible and no rights under these terms.
Agency customers are responsible for ensuring their end clients have authorized the connection of their data sources to Vysible.
Vysible depends on third-party services such as Google, OpenAI, hosting providers, and ecommerce platforms.
Availability, accuracy, or access to data from those services may affect Vysible functionality.
The service is provided as-is without warranties of any kind, express or implied, including fitness for a particular purpose, accuracy or completeness of data, uninterrupted availability, or non-infringement.
Vysible does not guarantee that GA4, Search Console, or Magento data will be error-free, complete, or consistent with each other or with internal reporting systems.
The AI Chat feature queries your connected Magento 2 database using read-only access against standard Magento 2 core table structures.
Vysible does not store, retain, or log the contents of AI Chat sessions or the data returned from your database during a session.
Query results are used solely to generate a response within the active session and are discarded when the session ends.
AI Chat queries are limited to standard Magento 2 core tables.
Custom extension tables, third-party module data, or non-standard schema modifications may not be accessible or may return unexpected results.
Vysible does not guarantee compatibility with heavily customized Magento 2 installations.
AI Chat responses are generated by an AI model and should be verified before acting on them.
Vysible is not liable for business decisions made based on AI Chat output.
AI-generated executive briefs and priority review targets are provided for informational and operational reference only.
They do not constitute financial, business, legal, or investment advice.
Customers are solely responsible for all decisions made using dashboard output.
Vysible is not liable for outcomes resulting from reliance on AI-generated content.
To the maximum extent permitted by applicable law, Vysible is not liable for indirect, incidental, special, consequential, or lost-profit damages.
Vysible's total liability for any claim arising from the service shall not exceed the total fees paid by the customer in the three months preceding the claim.
Vysible provides analytics support and operating context, but customers remain responsible for business decisions made using the service.
Nothing in these terms limits liability for fraud, willful misconduct, or any liability that cannot be excluded under applicable California law.
These terms are governed by the laws applicable in the State of California, without regard to conflict of law principles.
Venue and dispute handling may be further specified in a written customer agreement.
